MEMORANDUM
OF UNDERSTANDING

With
PT.
AMADILA ART
On
Monday, 30th January 2017 (30-01-2017) housed in PT. Gordyn Raya, The following
parties autographed below:
1. Rininda
Dhaneswara, as leader of the company in this case acts as the FIRST PARTY and on behalf of PT.
Curtain Raya which is located on Jl. Armageddon 200 Bandung - West Java.
2. Rian Larasati, as leader of the company in
this case acts as the SECOND PARTY
and on behalf of PT. Amadila Art, located on Jl. Bacang No. 48 Bandung.
The following considerations will be reported:
a. FIRST PARTY is an enterprise, which is
incorporated in the form Company engaged in the manufacture of curtains.
b.
SECOND PARTY is a company incorporated in the
form of a company engaged in the manufacture of various kinds of fabric design
motif.
c. THE PARTIES Where as in this case intends to
cooperate manufacture special patterned curtain that will launch in September
2012
On
the basis of the considerations outlined above, THE PARTIES further explained
by this agreement and agreed to hold a Memorandum of Understanding / MoU
mutually beneficial cooperation with the provisions and requirements as
follows:
ARTICLE
1
This
Memorandum of Understanding is the first step in order to attempt to mutually
beneficial cooperation by utilizing the potential, expertise and facilities
owned by each party in order to manufacture a patterned curtain design
specifically following marketing is developing and will dilaunchingkan next
September. With this regard is expected to be a change in visit on each
company.
ARTICLE
2
The scope of work agreed upon in the
MoU are as follows:
1.
Each firm maximizes the manufacture of curtains or
special design motif that is different from usual.
2. Each of these companies continue to manage the
realm of each other's work but still focuses on joint business activities to be
completed within the allotted time.
3. Companies that have agreed in joint activities
to optimize the sale of special patterned curtain this visit will achieve the
highest good quality.
ARTICLE
3
To
carry out the work force in Article 2 above, THE PARTIES will make cooperation
agreement which contains rights and obligations, and the role and function of
the position of each party.
ARTICLE
4
Costs
arising from the implementation of this MoU will be shared by each PARTY in
this Memorandum.
ARTICLE
5
Benefit-sharing
is agreed by both parties mutually benefit each other. That is, with the system
50: 50 so that it is considered profit sharing was fair to each other. Since
the signing of this MoU
ARTICLE
6
1. The MoU is valid for a period of 12/1 (month /
year), starting from this Memorandum of Understanding is signed and can be
extended for a certain period of time agreed upon by the PARTIES, before or
after the MOU expires.
2.
If the provisions regarding the period referred
to in paragraph (1) above is not followed up immediately as the implementation
of the provisions of Article 3 in this Memorandum of Understanding, then by self mutually beneficial cooporation agreement is void and / or ends.
This
Memorandum of Understanding / MoU is made in 2 (two), agreed upon and signed by
the PARTIES in a conscious state, physically and mentally healthy, with no
pressure, influence, coercion from any party, with stamped and valid
